Terms of Service
1. Who we are
These Terms of Service ("Terms") govern your use of the Colively mobile application and related services (the "Service").
The Service is provided by:
- Company: Colively
- Address: [Registered address]
- Contact email: privacy@colively.app
By creating an account, installing the app, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. What Colively does
Colively is a tool to help people living in shared homes organize:
- Lease information and related documents
- Utilities and household subscriptions
- Chores and task rotation
- Internal house information and notes
Colively does not replace legal advice, does not itself create, sign, or validate contracts, and does not manage or move money between you and your roommates or landlord.
The Service helps you structure information and communication. You remain responsible for your legal and financial obligations.
3. Eligibility
To use Colively, you must:
- Be at least 16 years old (or older if required by local law)
- Have the power to enter into a binding agreement
- Use the Service only for lawful purposes
If you use Colively on behalf of others (e.g. roommates), you confirm you have their consent to share their information where applicable.
4. Accounts and security
You are responsible for:
- Providing accurate account information
- Keeping your login credentials secret
- All activity done through your account
If you suspect unauthorized access, you must change your password and contact us at privacy@colively.app without delay.
We may suspend or close accounts that violate these Terms, abuse or attempt to abuse the Service, or pose a security or legal risk.
5. Shared homes and roommates
When you create or join a "home" in Colively, some information becomes visible to the other members of that home, for example:
- Home details (name, address)
- Roommates' names and roles
- Chores and assignments
- Utilities and related responsibilities
- Notes and shared information
You are responsible for only inviting people who are legitimately part of the home, only entering information you are allowed to share, and keeping internal house agreements aligned with reality.
Colively is not responsible for disputes between roommates, disputes between tenants and landlords, or the accuracy of data entered by users.
6. Leases, amendments, and documents
You can upload and store documents such as:
- Lease agreements and amendments
- Inventory reports
- Insurance documents
- Inspection reports and other PDFs
You agree that you have the right to upload these documents, will not upload illegal content or content that violates third-party rights, and understand that any "analysis" or "summary" features are informational only.
Colively does not guarantee the legal validity or completeness of leases or amendments, does not act as a party to any lease, amendment, or contract, and does not verify that the information reflects the signed legal documents.
You remain fully responsible for checking and validating any legal document with the actual signed copies and with appropriate legal advice.
7. Utilities, subscriptions, and payments
You can use Colively to record:
- Utility contracts and subscriptions
- Who manages or pays which service
- Due dates and costs
- Invoice uploads
Colively does not collect payments on your behalf, does not guarantee that payments are made on time, and does not calculate or enforce cost-sharing agreements.
The app only helps you track information. All real payments, billing, and cost sharing remain between you, your roommates, and your providers.
8. Chores, tasks, and notifications
The Service allows you to:
- Create chores and schedules
- Assign and rotate tasks between roommates
- Request swaps or replacements
- Receive reminders and notifications
Schedules and assignments are suggested organization tools, not legal obligations. Reminders may be delayed, fail to send, or not be received, for technical reasons.
You remain responsible for agreeing on responsibilities within your home, following local rules, and handling conflicts with your roommates fairly and respectfully.
9. Acceptable use
You agree not to:
- Use the Service for illegal, fraudulent, or harmful purposes
- Harass, threaten, or abuse other users
- Share content that is unlawful, defamatory, hateful, or invasive of privacy
- Reverse engineer, decompile, or attempt to access the source code
- Attempt to bypass security or access data you are not allowed to see
- Overload the Service with automated scripts or scraping
We may investigate and act, including suspension or termination, if we suspect abuse.
10. Intellectual property
The Service, including app design, layout, text, graphics, logos, icons, software, code, and underlying technology, is owned by Colively or its licensors and protected by intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to use the app for personal, non-commercial use in accordance with these Terms.
You may not copy, modify, distribute, sell, or lease any part of the Service or use Colively branding in a way that suggests endorsement without our written consent.
11. User content
"User Content" means any data, text, images, documents, or other material you upload or enter into the Service.
You retain ownership of your User Content and grant Colively a worldwide, non-exclusive, royalty-free license to use, host, store, display, and process your content only as needed to operate and improve the Service.
You confirm that you have all rights needed to upload the content and that your content does not infringe any third-party rights or applicable law.
We may remove or restrict access to content that violates these Terms, we are legally required to remove, or we reasonably consider harmful to the Service or other users.
12. Privacy and data protection
Our handling of personal data is described in our Privacy Policy, which is part of these Terms.
Privacy Policy: Privacy Policy
By using the Service, you agree that we can process your data in line with the Privacy Policy, for example to operate and secure the Service, send you important service-related communications, improve features and reliability, and send optional product updates or tips (with the ability to opt out where required).
13. Third-party services
The Service may rely on or integrate with third-party providers, for example:
- Cloud hosting and storage
- Email and notification services
- Document handling or signing services
We do not control these third parties and are not responsible for their availability, security, or performance, or for their terms, privacy practices, or actions.
Your use of their services may be subject to separate terms and policies.
14. Service changes and availability
We may add, change, or remove features, update the app and its interfaces, and limit, suspend, or stop parts of the Service.
We aim for good reliability but do not guarantee continuous, uninterrupted access, no bugs or errors, or compatibility with every device or OS version.
We may suspend or restrict access when performing maintenance, facing security incidents or technical issues, or required by law or by a competent authority.
15. Subscriptions and fees
If we introduce paid plans or in-app purchases, pricing, billing periods, and included features will be displayed clearly before purchase. Taxes may be added where required. Auto-renewal terms and cancellation methods will follow app store rules and local law.
If the app is free, this section applies only once paid features are introduced.
16. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied.
We do not guarantee that the Service will be error-free, secure, or always available, that the information in the app is accurate, complete, or up to date, or that the Service will meet all your expectations or specific needs.
You use Colively at your own risk.
17. Limitation of liability
To the maximum extent permitted by law, Colively, its directors, employees, and partners are not liable for any indirect, incidental, special, consequential, or punitive damages, loss of profits, revenue, data, or goodwill, or disputes between you and your roommates, landlords, or service providers.
Our total liability for any claim related to the Service is limited to the greater of:
- The amount you paid us for the Service in the last 12 months, or
- €50 (or equivalent in local currency)
Some jurisdictions do not allow certain limitations of liability. In that case, we limit our liability to the maximum extent allowed by local law.
18. Indemnification
You agree to indemnify and hold harmless Colively and its staff from any claim, demand, loss, or damage, including reasonable legal fees, arising from your misuse of the Service, your violation of these Terms, or your violation of any law or third-party rights.
19. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will notify you by in-app notice or email.
Continued use of the Service after the effective date of updated Terms means you accept the changes. If you do not agree with the new Terms, you must stop using the Service and, if desired, delete your account.
20. Termination
You may stop using the Service at any time and request account deletion via the app or by contacting us.
We may suspend or terminate your access if you materially breach these Terms, we are required to do so by law, or we discontinue the Service.
Upon termination, your right to use the Service ends immediately. Some data may be retained for legal, security, or accounting reasons, as described in the Privacy Policy.
21. Governing law and disputes
These Terms are governed by the laws of Belgium, without regard to conflict of law rules.
Any dispute arising from or related to the Service will be submitted to the competent courts of Belgium, unless mandatory local law gives you different rights as a consumer.
22. Contact
